Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Nexural iOS application (the “App”) and the Nexural.net website (the “Site”). The App and Site are collectively the “Services”. By using the Services, you agree to these Terms.

1. Who we are

“Nexural”, “we”, “us” refers to the developer/operator of the App and Site.

2. Eligibility

You must be at least 13 years old to use the Services. If you are under the age of majority where you live, you may use the Services only with the consent of a parent or legal guardian who agrees to these Terms.

3. App Store terms (iOS)

If you download the App from Apple’s App Store, your use of the App is also subject to Apple’s applicable terms and policies. Apple is not a party to these Terms and is not responsible for the App, except as required by law.

To the extent required by Apple’s terms, you acknowledge that Apple has no obligation to furnish maintenance and support services for the App. If you have questions or support requests, contact us at support@nexural.net.

4. License to use the Services

Subject to these Terms, we grant you a personal, non‑exclusive, non‑transferable, revocable, limited license to use the Services for your own lawful purposes.

You may not (and may not allow anyone else to):

• Copy, modify, distribute, sell, or lease any part of the Services, except as allowed by law
• Reverse engineer, decompile, or attempt to extract source code from the App, except where permitted by law
• Bypass or interfere with security, integrity, or access controls
• Use the Services in a way that violates applicable law or infringes others’ rights

5. On-device processing and offline use

Nexural is designed to process your prompts and data locally on your device during normal use, and core functionality is designed to work offline. However, some actions may require internet access, such as downloading the App, obtaining updates, completing purchases, or contacting support.

If we introduce optional features that involve network access (for example, downloading additional models or enabling integrations), we will describe those features in-product and update our policies as appropriate.

6. Your content

You are responsible for the content you provide to the App (“Inputs”) and for how you use any content generated by the App (“Outputs”). You represent and warrant that you have the rights necessary to use your Inputs with the Services.

Nexural is designed to keep content on-device. If you choose to export or share content (for example, via the iOS share sheet), the recipient or service you choose will receive that content and their terms will apply.

7. AI outputs and important disclaimers

Outputs may be inaccurate, incomplete, or inappropriate for your situation. You should independently evaluate Outputs before relying on them.

The Services are not professional advice. Do not use Nexural as a substitute for medical, legal, financial, or other professional advice, and do not rely on the Services for emergencies.

8. Acceptable use

You agree not to use the Services to:

• Break the law or violate others’ rights
• Create, distribute, or facilitate harmful, abusive, or exploitative content
• Attempt to gain unauthorized access to systems or data
• Interfere with, disrupt, or degrade the Services or any related systems
• Use the Services in a way that could cause harm to others

9. Third-party services and links

The Services may reference or link to third‑party websites, products, or services. We do not control third parties and are not responsible for their content, policies, or practices. Your use of third‑party services is at your own risk.

10. Purchases and subscriptions (if applicable)

If the App offers paid features, purchases are handled by your app store provider. Subscription terms, billing, renewal, and refunds are governed by the provider’s rules and the in‑app disclosures.

11. Intellectual property

The Services and related assets (including branding, design, and software) are owned by Nexural or its licensors and are protected by applicable intellectual property laws. “Nexural” and related marks are our trademarks.

The App may include open-source software. Open-source components are licensed under their respective licenses, which may grant you additional rights.

12. Feedback

If you send feedback or suggestions, you grant us the right to use them without restriction or compensation, and without any obligation to you.

13. Changes, updates, and availability

We may modify, suspend, or discontinue the Services at any time. We may also release updates that change or remove features. Your device and iOS version may affect performance and availability.

14. Disclaimers

The Services are provided “as is” and “as available”. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant that the Services will be uninterrupted, secure, or error‑free.

15. Limitation of liability

To the maximum extent permitted by law, Nexural will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, data, goodwill, or other intangible losses, arising from or related to your use of (or inability to use) the Services.

To the maximum extent permitted by law, our total liability for any claims arising out of or relating to the Services will not exceed the amount you paid (if any) to use the Services in the 12 months before the event giving rise to the claim.

16. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Nexural from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services or your violation of these Terms.

17. Termination

We may suspend or terminate access to the App or Site if you violate these Terms or if we reasonably believe your use could cause harm.

18. Governing law and disputes

These Terms are governed by the laws of the jurisdiction where we are based, without regard to conflict-of-law rules. If a dispute arises, we encourage you to contact us first so we can try to resolve it informally.

Nothing in these Terms limits any consumer rights you may have under applicable law, including any rights you may have to bring claims in your local courts where such rights cannot be waived.

19. Export and sanctions

You may not use the Services if you are subject to sanctions or located in a jurisdiction where providing the Services would be prohibited under applicable law. You agree to comply with applicable export control and sanctions laws.

20. Changes to these Terms

We may update these Terms from time to time. If we make changes, we’ll update the effective date above and post the revised Terms on this page.

21. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. These Terms constitute the entire agreement between you and Nexural regarding the Services and supersede any prior agreements on that subject. You may not assign these Terms without our consent; we may assign these Terms as part of a merger, sale, or similar transaction.
